Regulation of NOEMA Dealer Network

The present Regulation establishes the system of functioning NOEMA dealer network, defines the conditions for dealer selection and the order of interrelations with NOEMA.
Dealer can be a legal entity and private entrepreneurs, with any form of property, in accordance with the requirements of the present Regulation.

I. General Provisions

The aim of creating dealer network is to transfer the centre of sales to the regions, to pursue integral pricing policy, satisfy consumers' demands for quality produce.

II. Procedure of Establishing Dealer Relations

2.1. The procedure of conferring the status shall be effected on the grounds of a letter from the applying organization, with the following documents enclosed:
- a form of the established standard,
- copies of constituent documents,
- business plan with an instruction for the development of the market of NOEMA produce and the stipulated region for the planned year.
2.2. Submitted documents shall be considered by the management of the Sales and Marketing Department within 5 working days, and the following decision shall be made:
- conferring the dealer status,
- refusal to work with the applicant.
In the latter case a reply in writing with the explanation of the refusal shall be sent to the applicant. The submitted documents shall be returned.
Dealer Contract shall be concluded with the applicant who passes the attestation.
2.3. In the process of dealer selection the following factors shall be taken into account:
- experience in selling acoustics and acoustic components, loudspeaker equipment (period of work, annual turnover, financial resources, credit relations with bank)
- possession of information about customers, their paying capacity, the form of relations with customers
- ability to sell and advertise the products
- activities, availability of warehouses and transport in the stipulated region.

III. Procedure and Conditions for Concluding Dealer Contract

The Contract shall be formalized by the Sales and Marketing Department (by the appointed specialists) according to the approved form.
The term of the Contract shall be 6 months (1 year).
Dealers shall be pided into categories and, depending on the conferred category, get discounts on the established prices for the produce that are stipulated in the Supplements to the Purchase Contracts:

1st category: dealers, whose amount of purchase is over RUR 300,000 per month. The price discount established by NOEMA shall be 25%,
2nd category: dealers, whose amount of purchase is not less than RUR 200,000 per month. The established price discount shall be 18%,
3rd category: dealers, whose amount of purchase is not less than RUR 100,000 per month. The established price discount shall be 9%.
If one-time amount is equal to or exceeds RUR 500,000, some additional discounts shall be possible under an agreement between the Parties.

After the month passes, the discounts shall be re-counted depending on the obligations fulfilled.

IV. Liabilities of Dealer

4.1. To purchase the produce in the agreed volumes.
4.2. To take part in the development and realization of regional programs and projects approved by the Seller.
4.3. To publish and distribute advertising and information materials about the produce by negotiating with the Seller.
4.4. To know the line of NOEMA's goods and its competitors with similar produce and market capacity in the stipulated regions.
4.5. To submit reports in accordance with the set form once a month. It is obligatory to participate in the meeting at NOEMA once a year for summing up and prospective planning.
4.6. To observe copyright on the produce.
4.7. Dealer shall agree with NOEMA his participation and price policy regarding tenders to be conducted.

V. Procedure of Defining Regions, Customers and Principles of Work with Customers

5.1. Service regions and directions of work shall be determined by the NOEMA Sales and Marketing Department reasoning from dealer's offer and taking into account the availability of storage rooms in the fixed service region, established economic relations with consumers of NOEMA produce.
5.2. Work beyond the stipulated region, as well as cooperation with companies where the Enterprise has established direct and long economic relations, without negotiating the above with NOEMA, shall not be allowed.

VI. Procedure of Establishing Volumes of Purchase

6.1. Monthly-shared offers on purchase volumes shall be submitted by the Dealer a month before the beginning of a year or before signing the Contract.
6.2 The offers shall be considered by the Sales and Marketing Department within a seven-day period.
As may be necessary, negotiated amendments shall be made. Purchase volumes confirmed by the Parties shall be included in the Contract.

VII. Conditions of Changing Discounts

7.1. In the case Dealer fails to fulfill assumed monthly liabilities, the discount shall reduce twice. The full discount shall be effected after corresponding figures are reached.
7.2. Additional discount reduction shall be effected:
- for failure to satisfy demands of customers due to overpricing in comparison with the release prices.
- for failure to submit accounts.

VIII. Final Provisions

According to the overall totals of the year, on the basis of the results of joint activity, NOEMA shall take decision to extend the Dealer Contract for the next calendar year. The Contract can be cancelled on the ground of the six-month results in case the Dealer:
- did not start performing the Contract;
- systematically fails to carry out planned volumes of purchase.
